<h3>3. Dividend Policy</h3>
Since its founding, the Company has prioritized returning profits to shareholders as a key management objective. In accordance with this policy, we aim to achieve both "continued stable dividends" in line with business conditions and "utilization of retained earnings to strengthen our business foundation." Taking into consideration the dividend payout ratio of our parent company, RIZAP Group Inc., we have set our basic dividend payout ratio policy at "approximately 20%."
Our basic policy is to pay dividends twice annually—an interim dividend and a year-end dividend. Our Articles of Incorporation stipulate that "dividends of surplus and other distributions may be executed by board of directors resolution in accordance with Article 459, Paragraph 1 of the Companies Act."
Dividends of surplus are paid as an interim dividend with a record date of September 30 each year and a year-end dividend with a record date of March 31 each year.
Regarding dividends for the current fiscal year, while we made earnest efforts to improve performance, in light of the fiscal year's results, we regret to inform that we have decided not to pay a dividend.

Our basic policy is to continue stable dividends with a dividend payout ratio of approximately 20%, while using retained earnings to strengthen our business foundation. We distribute dividends twice annually through interim and year-end dividends, which are implemented by resolution of the Board of Directors.
