<h3 class="smt_head2">3 【Dividend Policy】</h3>
The Company implements dividends with consideration for strengthening its equity capital, while maintaining stable dividends to its parent company, Resona Holdings, Inc.
The Company's Articles of Incorporation stipulate that "the record dates for dividend distributions shall be March 31 and December 31 of each year (the dividend distribution with a record date of December 31 each year is referred to as interim dividend)." The Company plans to pay dividends twice per year.
These dividends are determined by Board of Directors resolution, except where otherwise provided by law, and do not require shareholder approval.
Regarding the interim dividend for the 15th fiscal year, from the perspective of stable dividend policy, the Company set the dividend per common share at 5,200 yen, equal to the dividend based on the surplus at the end of the 14th fiscal year.
Although the fiscal year was characterized by a challenging earnings environment with continued low interest rates, the Company was able to record a certain level of profit due to steady progress in diversifying revenue sources and increased fee and commission income. For the dividend based on surplus at the end of the 15th fiscal year, the Company restrained dividend payments to 2,200 yen per common share, taking into account both stable dividend policy and the need to strengthen the Company's equity capital.
Going forward, the Company will maintain stable dividends to its parent company, Resona Holdings, Inc., as its basic policy, while determining its dividend policy with due consideration for strengthening the Company's equity capital.
The dividends for the 15th fiscal year are as follows.
