<h3>3. Dividend Policy</h3>
<p style="margin-left: 24px; text-align: left">Regarding profit distribution, we determine the amount of profits to be distributed to shareholders and retained earnings by comprehensively considering future business plans, business performance, financial condition, and other factors. We also make efforts to allocate retained earnings efficiently, including prioritized investments in core products, technologies, and rationalization equipment, expansion of business scale, and funding for M&A activities where synergy effects are expected.</p>
<p style="margin-left: 24px; text-align: left">Dividend decisions are made by comprehensively considering changes in the business environment, future business plans, business performance, financial condition, and other factors.</p>

<br/>Our Articles of Incorporation stipulate that "matters concerning surplus dividend distributions and other items listed in Article 459, Paragraph 1 of the Companies Act shall be determined by Board of Directors resolution." However, this does not exclude the authority of shareholders to dispose of surplus earnings through shareholder meeting resolutions.<br/>The surplus dividend for the current fiscal year is as follows. Regarding dividend frequency, we have implemented a principle of two dividends per year (record dates: September 30 and March 31) since the fiscal year ended March 2016. However, regarding the year-end dividend for fiscal year 2016, we have resolved not to pay a year-end dividend, as a special dividend was paid conditional upon the completion of HK Holdings Co., Ltd.'s public tender offer for our shares.
