<h3>3. Dividend Policy</h3>
The Company views returning profits to shareholders as a key management priority. Under our management philosophy "IINO COMMITMENT," we commit to providing shareholder value by "enhancing corporate value through management focused on sustainable growth and implementing substantial shareholder returns." To remain a corporate group cherished by shareholders for the long term, we implement dividends based on the following policy.
 
◎Corporate growth through retained earnings
We secure and utilize retained earnings necessary to maintain and strengthen our business foundation in response to changing business environments and to fund new investments for sustainable growth.
 
◎Clear shareholder-focused stance
We link dividend amounts to corporate growth and implement appropriate and transparent profit returns.
 
◎Sustained dividend continuity
We maintain continuous dividends backed by stable earnings.
 
Based on the above policy, we aim to continue stable dividends linked to full-year results (consolidated dividend payout ratio: 30% of net income attributable to parent company shareholders as a benchmark).
 

　In addition, in the medium-term management plan announced in May 2023 (April 2023 to March 2026), consolidated results for the fiscal year ending March 2024 and the fiscal year ending March 2025 are expected to exceed the initial numerical targets. Given that business portfolio strategy investments are progressing smoothly, and considering these factors along with the optimal capital structure and financial condition, we have decided to implement a special dividend of 5.00 yen per share in the year-end dividend for the fiscal year ending March 2025.
 
　The Company's articles of incorporation provide for interim dividends. We have a policy of distributing surplus twice annually—year-end and interim dividends. The decision-making authority for these distributions is the shareholders' meeting for year-end dividends (record date: March 31 each year) and the board of directors for interim dividends (record date: September 30 each year).
 
　The surplus dividends for the current fiscal year are as follows. The year-end dividend of 33.00 yen per share includes the special dividend of 5.00 yen.

　For the fiscal year ending March 2026, the final year of the current medium-term management plan, we have set a dividend policy with a 40% payout ratio as the benchmark against full-year results.
(Note) The dividend policy for the fiscal year ending March 2027 and beyond will be reconsidered when formulating the next medium-term management plan (scheduled for disclosure around May 2026).

Our basic policy is to provide stable dividends that are linked to full-year business performance. We target a consolidated dividend payout ratio of 30% of net income attributable to parent company shareholders (40% for the fiscal year ending March 2026). We retain earnings to maintain and strengthen our business foundation and fund new investments. We plan to pay dividends twice per year—interim and year-end dividends.
