<h3>3. Dividend Policy</h3>
Our basic policy is to pay dividends from retained earnings once per fiscal year at the end of the fiscal period. However, our Articles of Incorporation permit interim dividends, and we intend to implement interim dividends if business performance in the interim period warrants it.
Regarding profit dividends, our basic policy is to provide stable and continuous dividends to shareholders while strengthening our financial foundation through building up internal reserves to actively pursue business investment activities that will serve as future revenue sources. Therefore, dividend payments require that both profits and cash be continuously and sufficiently secured.
In March 2025, we transferred a portion of other capital surplus to retained earnings to cover accumulated losses and eliminated our accumulated deficit. From a profit perspective, we can now consider profit dividends if we continue to generate periodic profits going forward.
On the other hand, cash constraints remain. We currently reschedule repayment of our standalone borrowings annually with the consent of our financial institutions. Therefore, we must prioritize repaying borrowings to financial institutions. Profit dividends can only be considered after we achieve refinancing of the borrowings currently under rescheduling. While we are making every effort to realize early refinancing, we posted consecutive losses in the fiscal years ended March 2023 and March 2024. Although we returned to profitability in the fiscal year ended March 2025, we remain in the reconstruction phase and are not in a position to realize refinancing immediately. Our policy is to first restore business performance and then continue working toward refinancing.
As a result, we regret to inform that we plan to pay no dividend for the fiscal year ended March 2025. Regarding dividends for the fiscal year ended March 2026, although we project net profit attributable to parent company shareholders to be positive on a consolidated basis, we plan no dividend due to the ongoing rescheduling period.
We amended our Articles of Incorporation at the 26th Annual General Meeting of Shareholders held on June 26, 2007, to provide that "interim dividends from retained earnings as defined in Article 454, Paragraph 5 of the Companies Act may be paid to shareholders or registered pledgees of shares recorded in the final shareholder register as of September 30 each year." The Board of Directors decides on interim dividends, while the General Meeting of Shareholders decides on year-end dividends.

The Company's basic dividend policy is to pay a year-end dividend once annually, with interim dividends also implemented depending on performance in the interim period. While strengthening internal reserves for operating and investment activities and reinforcing the financial foundation, the Company maintains a basic policy of providing stable and continuous dividends. The Company recognizes that realizing dividends requires the continuous and sufficient securing of both profits and cash flow.
