<h3>3. Dividend Policy</h3>
The Company recognizes profit returns, including dividends, as an important management priority. To encourage shareholders to hold our shares over the long term, we position "stable dividends from a long-term perspective" with emphasis on dividend payout ratio based on consolidated net assets (DOE) as our core profit return policy. We also consider securing sufficient retained earnings necessary for future business development and strengthening our financial position.
Additionally, our basic policy is to pay dividends twice annually—interim and year-end dividends. At the ordinary general meeting of shareholders held on June 12, 2014, we amended our articles of incorporation to allow the Board of Directors to decide on dividend distributions based on Article 459, Paragraph 1 of the Companies Act.
Accordingly, dividend decisions are made by the Board of Directors.
Regarding dividends for the 40th fiscal period, we regret to inform that no dividend will be paid as business performance has not recovered to the expected level.

Our basic policy prioritizes stable dividends from a long-term perspective that emphasizes DOE, while also considering the retention of earnings needed for future business development and strengthening our financial position. We distribute dividends twice annually through interim and year-end dividends, which are determined by board resolution.
