<h3 class="smt_head2">3 [Dividend Policy]</h3><p class="smt_text2" style="orphans:0;widows:0;padding-left:18pt;">Our company prioritizes returning profits to shareholders. Our basic policy is to strengthen earnings capacity to secure dividend resources and to pay dividends from our surplus twice annually on a continuous and stable basis. The interim dividend is decided by the Board of Directors, and the year-end dividend is decided by the General Shareholders' Meeting.</p><p class="smt_text2" style="orphans:0;widows:0;text-align:justify;padding-left:18pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">For the fiscal year ended March 2024 (Term 79), net income attributable to parent company shareholders was positive for the third consecutive year. Additionally, following the capital reduction executed in September 2024, accumulated losses were eliminated. The company also achieved positive net income on a non-consolidated basis for Term 79, securing dividend resources from surplus on a non-consolidated basis. However, depreciation expenses are expected to increase significantly in the fiscal year ending March 2026, and the company has issued stock acquisition rights with exercise price adjustment clauses to fund capital investments to triple production capacity for heat dissipation substrates. Given that the timing of capital procurement remains uncertain within the three-year exercise period, it is necessary to continue retaining funds for growth. Therefore, we have decided to forgo dividend payments for the current fiscal year.</p><p class="smt_text6" style="orphans:0;widows:0;"> </p>

<p>Our basic dividend policy prioritizes shareholder returns. We aim to implement stable and consistent dividends twice annually while strengthening earnings to secure dividend resources. Interim dividends are decided by the Board of Directors, and year-end dividends are decided by the General Meeting of Shareholders. We maintain a policy of securing necessary funds for capital investments and other growth initiatives through retained earnings.</p>
