<h3>3. Dividend Policy</h3>
The Company recognizes returning profits to shareholders as one of its most important management priorities and intends to actively return profits in accordance with earnings.
Regarding future profit distribution, our basic policy is to maintain stable dividends while securing necessary retained earnings for long-term business growth and strengthening our financial position. Retained earnings will be allocated to M&A for business expansion and efficiency improvements, new store openings, capital investments, and human resource development, with the aim of enhancing corporate value.
The Company's dividend policy is currently based on one year-end dividend per fiscal year as the fundamental approach. The Board of Directors is the decision-making body for dividend determination.
The Company's Articles of Incorporation provide that "pursuant to Article 459, Paragraph 1 of the Companies Act, the Board of Directors may resolve to pay dividends from surplus."
For the current fiscal period, as resolved by the Board of Directors on May 9, 2025, dividends are set at 5 yen per common share, 3,252,730 yen per preferred share, 3,752,730 yen per Series 2 preferred share, and 3,500,000 yen per Series 3 preferred share. The total dividend amount is 531 million yen for common shares, 98 million yen for preferred shares, 113 million yen for Series 2 preferred shares, and 315 million yen for Series 3 preferred shares, totaling 1,057 million yen.
