<h3>3. Dividend Policy</h3>
　The Company has established provisions in its Articles of Incorporation allowing the Board of Directors to declare dividends from retained earnings in accordance with Article 459, Paragraph 1 of the Companies Act. The Articles of Incorporation also provide for the possibility of interim dividends with a record date of May 31 each year.
　The Company Group recognizes the return of profits to shareholders as an important management priority. Our basic dividend policy is to distribute retained earnings once annually as a year-end dividend. We are committed to a balanced approach that takes into account the need to maintain adequate internal reserves for strengthening our corporate foundation and expanding our business base.
　However, following a substantial net loss in the fiscal year ended November 2020 and four consecutive periods of net losses from the fiscal year ended November 2022, the Company recorded net profit on a standalone basis for the first time in four periods in the current fiscal year through dividend income from subsidiaries, thereby resolving the Company's debt-to-equity deficit. To concentrate management resources on business activities and improve performance, we have decided to suspend dividends for the fiscal year ended November 2025.
　Regarding dividends for the next fiscal year ended November 2026, we regret to inform that we currently project no dividend distribution as we continue to concentrate management resources on business activities and work to improve performance.

Our basic dividend policy is to pay dividends once per year at the end of the fiscal period. We aim to balance shareholder returns with maintaining sufficient retained earnings necessary to strengthen our financial position and expand our business foundation. However, due to deteriorating business performance, we are suspending dividend payments for the fiscal periods ending November 2025 and November 2026 as we concentrate management resources on business operations.
