<h3>3. Dividend Policy</h3>
Our basic policy is to continue providing stable dividends over the long term while strengthening internal reserves to improve our financial position and prepare for future business development. We position the use of retained earnings as "foundation strengthening period" leading into the future. We are committed to strengthening our financial structure and allocating funds to meet capital investment needs for growth strategies from a long-term perspective, equipment investment in new core products under development, information technology investment, and other funding requirements, while investing in resources for further future growth.
Our basic dividend policy is to pay dividends twice annually: an interim dividend and a year-end dividend. The interim dividend is decided by the Board of Directors, while the year-end dividend is decided by the General Meeting of Shareholders. Our Articles of Incorporation stipulate that "the Board of Directors may declare an interim dividend with June 30 as the reference date each year."
We will continue to advance structural reforms centered on business model transformation as outlined in our "Medium-Term Management Plan (2023-2027)" and aim to rebuild our financial foundation as early as possible. However, regarding dividends for the fiscal year ending December 2024, there is no distributable surplus as defined under Article 461 of the Companies Act. We regret to inform you that we will not be paying a dividend for this period.
