<h3>3. Dividend Policy</h3>
The Company recognizes returning profits to shareholders as an important management priority. However, the Company has not paid dividends since its establishment. Because pharmaceutical development requires substantial upfront investment and lengthy development periods, the Company will prioritize securing research and development funding while building up retained earnings for the time being.
When the Company distributes surplus earnings, its basic policy is to pay dividends once annually at the fiscal year-end. The decision-making body for dividend payments is the shareholders' meeting. Additionally, to enable flexible dividend responses, the Company's articles of incorporation provide that interim dividends may be paid by board of directors resolution pursuant to Article 454, Paragraph 5 of the Companies Act.
As of the end of the fiscal year ending March 2025, the Company is not in a financial position to pay dividends under the Companies Act. Even if profitability is achieved in the future through the commercialization of developed pharmaceuticals, the Company will not be in a position to pay dividends until accumulated losses incurred during the development period are eliminated.

Pharmaceutical development requires substantial upfront investment and extended development periods. Therefore, our policy prioritizes securing research and development funding by building internal reserves for the foreseeable future. When distributing dividends, we have established articles of incorporation that provide for year-end dividends as the standard practice, while also allowing for interim dividends when appropriate.
