<h3>3. Dividend Policy</h3>
The Company's basic capital policy framework aims for balanced and sustainable improvement through three integrated pillars: "profit growth," "financial soundness," and "shareholder returns." As a basic profit distribution policy, the Company positions the expansion of profit returns to shareholders as one of its most important management priorities, while working to strengthen capital toward achieving an optimal capital structure.
The Company's dividend of surplus is provided through year-end dividends and interim dividends, and the Articles of Incorporation allow for dividends of surplus on specified record dates. Regarding the number of dividend payments in each fiscal year, the Company believes that two annual dividend payments—interim and year-end dividends—are optimal as profit distributions, in order to balance growth investments and shareholder returns as long as there is room for value-creating growth. Under the provisions of Article 459 of the Companies Act, the Company's Articles of Incorporation provide that dividends of surplus may be paid by Board of Directors resolution. The Board of Directors decides on interim dividends, while the General Meeting of Shareholders decides on year-end dividends.
Under the medium-term management plan "PLAN-W" announced in May 2023, the Company aimed to maintain a dividend payout ratio of approximately 30% over the three-year period through February 2026, while expanding shareholder returns through consecutive dividend increases funded by sustainable profit growth. The dividend decision for the current fiscal year was made based on this policy. However, the repayment of the perpetual subordinated loans, originally planned over three years in "PLAN-W," was completed one year ahead of schedule by the end of February 2025, establishing a certain milestone in improving financial health. As a result, the financial foundation for shifting resource allocation priorities toward growth investments and shareholder returns is taking shape. Given that the groundwork for achieving the 40% dividend payout ratio targeted in the next medium-term plan has been established, the Company has adopted a policy to gradually increase the dividend payout ratio by 2.5 percentage points annually over four years (from 30% to 40%).
Regarding the use of retained earnings, the Company prioritizes store and brand development, M&A, and business investments in the digital field to enhance future corporate value, while considering highly efficient deployment of such funds.
