<h3 class="smt_head2">3 [Dividend Policy]</h3><p class="smt_text2" style="orphans:0;widows:0;">The Company aims to enhance corporate value over the medium to long term on a sustainable basis. To achieve this, we recognize the importance of making advance investments in services, capital expenditures, and strategic partnerships with an eye toward future growth. At present, we believe that prioritizing corporate value enhancement through investments in business expansion and operational efficiency is appropriate. In recent fiscal years, we have not paid dividends for the reasons stated above.</p><p class="smt_text2" style="orphans:0;widows:0;text-align:justify;padding-left:9pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">Retained earnings and profit reserves generated through our business operations will be allocated to marketing activities in existing businesses, product development and personnel expansion and development in new businesses, and investments for non-linear corporate growth through diversification of revenue bases and strengthening of profitability, including active M&A. Going forward, we will consider returning profits to shareholders while taking into account operating results and financial position in each period. However, at this time, the possibility of implementing dividends and the timing thereof remain undetermined.</p><p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:9pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">The Company's Articles of Incorporation provide that matters specified in Article 459, Paragraph 1 of the Companies Act, including dividend distributions, shall be determined by Board of Directors resolution without requiring a shareholders' meeting resolution, except where otherwise provided by law. Additionally, the Company's Articles of Incorporation provide that interim dividends as prescribed in Article 454, Paragraph 5 of the Companies Act may be implemented by Board of Directors resolution with September 30 as the record date.</p>

<p>At this time, we prioritize increasing corporate value and do not pay dividends. Instead, we will use profits for growth investments, including strengthening existing operations, developing new businesses, and pursuing M&A opportunities. In the future, we will consider returning profits to shareholders based on our business performance and financial condition, though the timing of any dividend implementation remains undecided.</p>
