<h3>3. Dividend Policy</h3>
The Company regards profit distribution to shareholders as one of its most important management priorities. Our basic dividend policy is to provide shareholders with stable dividend increases. We determine annual dividend amounts with the aim of achieving stable dividend growth while taking into account our operating results, financial condition, and cash flow situation. Additionally, in our announcement dated February 14, 2024 regarding future dividend policy, we have positioned a "consolidated dividend payout ratio of 20%" as our future dividend policy, contingent on achieving profitability in consolidated full-year results and securing dividend sources through the establishment of a stable financial foundation.
Regarding dividend frequency, while our Articles of Incorporation permit interim dividends, our basic policy is to implement dividends once per year as a year-end dividend. The Board of Directors determines interim dividends, while the General Meeting of Shareholders determines year-end dividends.
Regarding the dividend on surplus with a record date of March 31, 2025, as disclosed in our notice dated May 15, 2025 regarding the revision of the year-end dividend forecast for the fiscal year ending March 2025, although we achieved profitability in consolidated full-year results for the current period, the chocoZAP business incurred investments to improve store environments and expenses for addressing equipment and facility failures caused by prolonged extreme heat and continuous 24-hour operations. As a result, we have not yet established a stable financial foundation at this time, and we regret to inform you that we have decided to pay no dividend.
Regarding the dividend on surplus with a record date of March 31, 2026, we are committed to improving overall group performance, including further enhancing profitability in the chocoZAP business, and aim to resume dividends with a target consolidated dividend payout ratio of 20% in line with our previous policy. The specific dividend details for the fiscal year ending March 2026 will be determined based on progress in each business, including chocoZAP, and remain undecided at this time. We will disclose the dividend amount promptly once it is determined.

The company aims to provide stable dividend increases to shareholders as its basic policy.
