<h3 class="smt_head2">3 [Dividend Policy]</h3>
The Company positions the return of profits to shareholders as one of its important management policies, while prioritizing "investment for future growth" aimed at achieving continuous profit increases through aggressive business expansion, and "retained earnings" to strengthen and reinforce its financial position. The basic policy for dividends is to distribute earnings flexibly according to each period's performance, taking into account medium- to long-term business plans. 
The Company's dividend payout ratio has traditionally been 25% of consolidated net income attributable to parent company shareholders. However, in light of the stabilization of the financial base resulting from the restructuring of overseas operations and the concentration on domestic operations with stable profitability, we have decided to increase this to 30%. Retained earnings will be utilized for medium- to long-term strategic investments. 
In cases where net income attributable to parent company shareholders fluctuates significantly due to non-recurring special factors, the dividend amount may be determined taking such impacts into consideration. Additionally, if the Company Group records a loss in a single fiscal year, the dividend amount may be set to zero. 
The Company's basic policy is to pay dividends once per year as a year-end dividend. The Company has stipulated in its Articles of Incorporation that interim dividends as prescribed in Article 454, Paragraph 5 of the Companies Act may be implemented by Board of Directors resolution. The decision-making bodies are the Board of Directors for interim dividends and the General Meeting of Shareholders for year-end dividends. 
Based on the above policy, regarding the year-end dividend for the current period, the Company plans to propose at the 31st Ordinary General Meeting of Shareholders scheduled for December 23, 2025, a dividend of 10 yen and 41 sen per share (including a commemorative dividend of 1.0 yen for the Company's 30th anniversary). 
In the current period, the following items have been treated as non-recurring special factors and adjusted in calculating the dividend from dividend sources: 
• Gain or loss on loss of control related to overseas business restructuring 
• Debt forgiveness in connection with overseas business restructuring 
• Tax reduction from reversal of carried-forward losses resulting from organizational restructuring of overseas subsidiaries 
The dividend per share is calculated based on the number of issued shares (excluding treasury shares) as of the fiscal year-end. Additionally, to calculate the 30% dividend payout ratio more precisely, amounts are rounded to the nearest whole number at the third decimal place.

Our basic dividend policy is to distribute earnings flexibly based on performance each period, with a dividend payout ratio of 30% of consolidated net income. We distribute dividends once per year as a year-end dividend as our basic policy, and retain earnings for strategic investments over the medium to long term.
