<h3 class="smt_head2">3 [Dividend Policy]</h3>
The Company recognizes returning profits to shareholders as an important management priority. Our basic policy is to maintain stable dividends while securing necessary retained earnings for future business development and strengthening our financial position.
Based on Article 454, Paragraph 5 of the Companies Act, the Company's articles of incorporation provide that interim dividends may be paid with June 30 as the record date by board of directors resolution. However, our basic policy is to pay surplus dividends once per fiscal year as year-end dividends. The interim dividend is decided by the board of directors, while the year-end dividend is decided by the shareholders' meeting.
For the current fiscal year's year-end dividend, we have set the dividend at 5 yen per share, taking into comprehensive consideration business performance trends and profit returns to shareholders.
Retained earnings will be invested effectively in new system development and human resource development to respond to anticipated changes in the business environment.
Additionally, the Company and its subsidiary Ishii Kousaku Kenkyujo Inc. plan to establish a joint holding company "FIG Inc." as the common parent company of both entities through a joint share transfer, effective July 2, 2018, subject to approval at the ordinary shareholders' meetings of both companies to be held in March 2018.
Regarding next fiscal year's dividend, the joint holding company "FIG Inc." plans to pay year-end dividends. Details will be announced promptly once disclosure becomes possible, taking into account business performance trends.
