<h3 class="smt_head2">3 [Dividend Policy]</h3>

The Company believes it is important to return profits to shareholders while maintaining sufficient retained earnings to strengthen and expand our business foundation and to capture expanding business opportunities quickly and reliably. We base our dividend decisions on a comprehensive assessment of business performance, future business developments, and other factors.Regarding share buybacks, we will implement them flexibly in response to market conditions, including stock price movements, while balancing growth investments.

For the fiscal year-end dividend, after comprehensively considering business performance, future outlook, retained earnings, and future business developments, we plan to pay 3 yen per share. The consolidated dividend payout ratio will be 27.5%. Combined with share buybacks totaling 528 million yen implemented during the fiscal year, the consolidated total return ratio will be 52.1%.

The decision-making authority for dividend distributions is the Board of Directors for interim dividends and the General Shareholders' Meeting for year-end dividends. While our Articles of Incorporation provide for interim dividends as permitted under Article 454, Paragraph 5 of the Companies Act, we do not currently implement interim dividends.

Our basic dividend policy is to distribute dividends after comprehensively considering our business performance and future business development, while also maintaining sufficient retained earnings. We implement share buybacks flexibly in response to market conditions, while balancing them with growth investments. We reinvest retained earnings into investments and financing in our investment banking business to enhance shareholder value.
