<h3>3. Dividend Policy</h3>
The Company regards returning profits to shareholders as one of its most important management priorities. We are committed to returning profits to shareholders from a long-term perspective, maintaining stable dividends as our basic approach while comprehensively considering consolidated business performance, financial condition, and future business developments. Based on this principle, we implement dividend distributions by taking into account trends in consolidated performance and the necessity of capital investments and improvements to our financial position. Regarding dividend timing, we conduct dividend distributions once per fiscal year as year-end dividends, taking our financial condition into consideration.
Except as otherwise provided by law, the Company's Articles of Incorporation stipulate that the Board of Directors may determine matters regarding dividend distributions and other items listed in Article 459, Paragraph 1 of the Companies Act.
Additionally, the Company's Articles of Incorporation stipulate that the Board of Directors may implement interim dividends as of September 30 each year in accordance with the provisions of Article 454, Paragraph 5 of the Companies Act.
The decision-making authority for dividends is as follows: year-end dividends are decided by the shareholders' meeting or the Board of Directors, while interim dividends and other dividends are decided by the Board of Directors.
For the fiscal year ending March 2025, no year-end dividend will be paid because retained earnings are in a deficit position on an individual company basis.

Our basic policy is to maintain stable dividends while comprehensively considering consolidated earnings, financial condition, and business developments in our approach to returning profits to shareholders. We pay a surplus dividend once per fiscal year as a year-end dividend, and we have established a system that also allows for interim dividends.
