<h3 class="smt_head2" style="line-height:13pt;">3 [Dividend Policy]</h3><p class="smt_text2" style="orphans:0;widows:0;line-height:13pt;">Our basic policy is to implement appropriate profit distribution by taking into comprehensive consideration future business developments, dividend payments as profit returns to shareholders, internal reserves to strengthen our financial position to respond to business opportunities, and incentives for management and employees aimed at enhancing management vitality. Our company is able to pay dividends twice per year—interim dividends and year-end dividends—and our articles of incorporation provide that interim dividends may be paid by resolution of the board of directors with a record date of the last day of February each year, based on the provisions of Article 454, Paragraph 5 of the Companies Act. The decision-making body for dividend payments is the shareholders' meeting for year-end dividends and the board of directors for interim dividends.</p><p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:9pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:13pt;font-size:9pt;">Under the above basic policy, regarding the year-end dividend for the fiscal year ending August <span>2025</span>, we have decided to pay no dividend as we will record a net loss for the period.
