<h3 class="smt_head2">3 [Dividend Policy]</h3>
The Company was established as a private guarantee institution whose primary business is to provide loan guarantees to small and medium-sized enterprises affiliated with member companies of the TKC National Association who are also shareholders. Given the nature of this business, securing the trust of partner financial institutions is essential. Accordingly, the Company has focused on building up internal reserves.
However, through management reforms implemented since fiscal 2011, the Company has transitioned toward a leaner structure by withdrawing from loan guarantee operations and returning shareholders' capital contributions through share buybacks, thereby reducing the need for large capital reserves. During this transition, special dividends were paid beginning in the 34th fiscal period to reward shareholders for their long-standing support of the Company's operations, and accumulated surplus was returned to the maximum extent possible. Following two rounds of share buybacks, which enabled the return of capital contributions to most shareholders, the Company intends to base future dividends on business performance and operational plans.
Regarding surplus dividends as of the end of the current fiscal year, the Company intends to retain these internally as resources to support services that contribute to the continued existence and development of accounting firms and their affiliated enterprises. Accordingly, no dividend is being paid.
The Company's basic policy is to pay surplus dividends once per year as a year-end dividend. The dividend decision is made by the shareholders' meeting.

Going forward, our basic dividend policy will be to distribute dividends in line with business performance and operational plans. We will distribute dividends once per fiscal year as our standard practice. We will use retained earnings as capital to fund service development that contributes to the sustainability and growth of our accounting firm and client relationships.
