<h3 class="smt_head2" style="font-family:'ＭＳ ゴシック';">3 [Dividend Policy]</h3><p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:3.5pt;padding-right:5pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:10.5pt;">In light of the public nature of banking operations, the Bank aims to pay stable dividends while strengthening its financial position through appropriate retained earnings and capital reserves from a sound management perspective, and also taking into consideration the capital base enhancement of its parent company, Mitsubishi UFJ Financial Group, Inc.<p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:3.5pt;padding-right:5pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:10.5pt;">Pursuant to Article 454, Paragraph 5 of the Companies Act, the Bank's Articles of Incorporation provide that the Board of Directors may resolve to pay dividends of surplus with September 30 as the record date each year. Additionally, the Articles of Incorporation provide that the Bank may pay dividends of surplus with March 31 as the record date each year. Therefore, the basic policy is to pay dividends twice annually: interim dividends and year-end dividends. Pursuant to Article 459, Paragraph 1 of the Companies Act, the Articles of Incorporation provide that the Board of Directors may resolve to acquire treasury shares and pay dividends of surplus. The decision-making body for dividends is the Board of Directors for interim dividends, and the General Meeting of Shareholders or the Board of Directors for other dividends.<p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:3.5pt;padding-right:5pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:10.5pt;">For the current fiscal year, based on the above policy, the annual dividend per common share is ¥39.14 (interim dividend of ¥16.01 and year-end dividend of ¥23.13). Additionally, in accordance with the capital policy of Mitsubishi UFJ Financial Group, Inc., special dividends of ¥3.57 per common share were paid on August 2, 2024, and ¥16.13 per common share on February 4, 2025.Retained earnings will be utilized to achieve sustained improvement in corporate value and further strengthening of the Bank's financial position.<p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:0pt;padding-right:5pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:21pt;font-size:21pt;"> 　(Note) The following shows dividends of surplus with record dates in the current fiscal year and other dividends of surplus resolved during the current fiscal year.
