<span style="font-size: 14px">The Company had maintained a policy of targeting a total payout ratio of approximately 50%, including share buybacks. However, at the Board of Directors meeting held on June 26, 2023, the Board resolved to express support for and recommend participation in the public tender offer for the Company's shares by JICC-02 Inc. (commencing March 19, 2024). Taking into account that the purchase price per share was determined comprehensively based on the premise that no dividend would be paid as of September 30, 2023 (end of second quarter) and March 31, 2024 (fiscal year-end), the Board resolved not to pay dividends as of September 30, 2023 (end of second quarter) and March 31, 2024 (fiscal year-end).</span>

<p>While we had maintained a policy of returning approximately 50% of earnings to shareholders, based on our decision regarding a tender offer, we have decided not to pay dividends with record dates of September 30, 2023 and March 31, 2024.</p>
