<h3>3. Dividend Policy</h3>
On April 1, 2014, our company merged with Maruha Nichiro Suisan Corporation (which changed its corporate name to Maruha Nichiro Corporation on the same date), with Maruha Nichiro Corporation as the surviving company and our company as the dissolving company.
For dividends on common stock and Class 1 preferred stock for the current fiscal year, we have decided that Maruha Nichiro Corporation will pay dividends of 30 yen and 200 yen per share, respectively, to shareholders listed or recorded in the shareholder register of Maruha Nichiro Corporation as of April 1, 2014.
We position appropriate profit returns to shareholders as an important management priority. Our basic policy is to continuously strengthen our management foundation and enhance financial stability while monitoring the business environment, with the aim of maintaining stable dividends on an ongoing basis.
Our basic policy is to distribute surplus once per year as a year-end dividend. The shareholder general meeting is the decision-making body for dividend distributions.
The surplus dividend for the current fiscal year is as follows:

Common stock — Total dividend amount: 1,486 million yen — Dividend per share: 30 yen
Class 1 preferred stock — Total dividend amount: 128 million yen — Dividend per share: 200 yen

We position appropriate profit returns to shareholders as a key initiative. Our basic policy is to continue stable dividends while strengthening our management foundation and financial position, while carefully assessing the business environment. We implement dividends once per fiscal year as a year-end dividend as our basic policy.
