<h3>3. Dividend Policy</h3>
Our basic policy is to maintain stable, continuous dividend payments while securing sufficient retained earnings necessary to strengthen our corporate foundation and support future business development.
We distribute surplus earnings once annually through a year-end dividend, with the dividend amount determined by shareholders at the general meeting. Regarding the year-end dividend for the fiscal year ending March 2025, the CID business has failed to reach its break-even point. Since recording a net loss in the fiscal year ended March 2023, retained earnings available for dividend distribution have remained negative. Accordingly, we regret to announce that no dividend will be paid for the fiscal year ending March 2025.
Regarding dividends for the following fiscal year, while we are advancing efforts to improve operating performance and financial condition, we currently plan to pay no dividend. This reflects the uncertain outlook for securing retained earnings available for dividend distribution, taking into account the prospects for the following fiscal year.
We have adopted the interim dividend system as provided in Article 454, Paragraph 5 of the Companies Act, and our articles of incorporation authorize the board of directors to declare interim dividends. We plan to use retained earnings as a financial resource to strengthen our corporate foundation and support future business development in response to anticipated changes in the operating environment.
The record date for year-end dividends is March 31 each year, and the record date for interim dividends is September 30 each year.

We distribute dividends once annually as a year-end dividend as our basic policy, and we also adopt an interim dividend system. We plan to use retained earnings as a source of funding for strengthening our corporate foundation and future business development.
