<h3>3. Dividend Policy</h3>

Our basic policy is to determine profit distributions by comprehensively considering our business performance and the operating environment, and to pay dividends twice annually—an interim dividend and a year-end dividend.


Our articles of incorporation stipulate that matters concerning dividend distributions as specified in Article 459, Paragraph 1 of the Companies Act shall be determined by board of directors resolution rather than shareholder approval, except where otherwise provided by law. Accordingly, the board of directors has authority to decide on both interim and year-end dividends.


Given the need to strengthen internal reserves and in light of our business performance this fiscal year, we have decided to forgo both the interim dividend and year-end dividend for this fiscal year.


We are committed to working diligently to restore profitability so that we can resume dividend payments at the earliest opportunity.


We intend to use retained earnings effectively to ensure the reliability of transactions in our market and to maintain stable operations as an exchange.
