<h3>3. Dividend Policy</h3>

On May 1, 2018, our bank merged with Yamashiro Bank Co., Ltd. (which changed its corporate name to Kiraboshi Bank Co., Ltd. on the same date) as the surviving company, with our bank and Shin Bank Tokyo Co., Ltd. as the dissolving companies.


Our dividend policy for this fiscal year is as follows.


In light of the public nature of banking, our bank prioritizes maintaining stable dividends while strengthening our financial position through appropriate retained earnings and other measures to ensure soundness. We follow the management policy of our parent company, Tokyo Kiraboshi Financial Group Co., Ltd.


Our articles of incorporation provide that interim dividends may be paid as prescribed in Article 454, Paragraph 5 of the Companies Act, and that surplus dividends may be paid by board resolution as prescribed in Article 459, Paragraph 1 of the same act. Our basic policy is to pay dividends twice annually: interim dividends and year-end dividends.


For this fiscal year, we have paid an interim dividend of 13.67 yen per share.


Additionally, for the purpose of strengthening consulting functions at Tokyo Kiraboshi Financial Group Co., Ltd., we conducted an in-kind dividend on April 3, 2017, distributing all shares (147 common shares) of Tomin Management Research Institute Co., Ltd. (which changed its corporate name to Kiraboshi Consulting Co., Ltd. on the same date) that our bank held.


Retained earnings will be used to strengthen our financial position and enhance our business operations as a regional financial institution.

Our dividend payments are subject to restrictions under Article 18 of the Banking Act. When paying dividends from surplus, regardless of the provisions in Article 445, Paragraph 4 of the Companies Act (regarding the amount of capital and reserves), we record as capital reserve or earned reserve an amount equal to one-fifth of the surplus amount reduced by the dividend payment.

Following the management policy of our parent company, Tokyo Kiraboshi Financial Group, our basic policy prioritizes maintaining stable dividends. We distribute dividends twice annually—an interim dividend and a year-end dividend. We retain earnings to strengthen our financial position and reinvest in enhanced business capabilities as a regional financial institution.
