<h3 class="smt_head2">3 [Dividend Policy]</h3>We are convinced that enhancing corporate value aligns with both shareholder interests and the legitimate expectations of other stakeholders. Our basic policy regarding dividends to shareholders is to distribute earnings backed by business performance and to maintain stable, continuous dividends. For shareholder dividends, we will aim for a payout ratio of 30% or higher based on consolidated results, while working to increase dividends per share on a continuous basis. Regarding retained earnings, we intend to invest effectively in new product development that anticipates future technological innovation and cost improvement measures, while giving consideration to addressing global environmental issues, in order to improve business performance. 　Our dividend policy is to pay dividends once per fiscal year as a year-end dividend, with the dividend decision made by the shareholders' meeting. 　For the current fiscal period, we have decided to pay no dividend due to reasons including a substantial net loss. Going forward, we are committed to working toward a swift resumption of dividends by focusing on earnings recovery. (Dividend Restrictions)The stock exchange agreement executed with Minebea Co., Ltd. on March 30, 2016 includes the following dividend restrictions."On or after the date of execution of this agreement and before the effective date (scheduled for March 17, 2017), no resolution shall be made regarding the distribution of surplus with a record date before the effective date, nor shall any resolution be made regarding the acquisition of treasury stock with an acquisition date before the effective date (except where acquisition of the company's own shares is required in response to shareholder exercise of rights in accordance with applicable laws)."

Our basic dividend policy is to distribute profits backed by business performance while maintaining stable, continuous dividends. We aim for a dividend payout ratio of 30% or more based on consolidated results, and work to increase dividends per share on a continuous basis. Dividends are paid once annually as a year-end dividend. We reinvest retained earnings in new product development and cost improvement initiatives to drive business growth.
