<h3 class="smt_head2">3 [Dividend Policy]</h3>The Company resolves dividend payments at the shareholders' meeting. While our Articles of Incorporation contain provisions allowing interim dividends as prescribed in Article 454, Paragraph 5 of the Companies Act, we operate on a basic policy of one dividend per year.In determining dividends, we aim to provide stable and continuous dividend payments. However, as a construction consulting firm engaged in highly public-interest work, we believe it is necessary to maintain appropriate retained earnings essential for stable management, alongside enhancing profit returns. We secure retained earnings equivalent to approximately two months of monthly sales as working capital, then allocate them based on medium- to long-term management strategy. Internal investments include human capital investment as our greatest management resource, research and development investment for new business creation, and DX investment to improve production efficiency. External investments include strategic investments including M&A.Regarding dividends, we maintain a minimum consolidated dividend payout ratio of 30% or higher, while aiming to flexibly implement additional shareholder returns targeting a total payout ratio of approximately 35–50%, taking into account the progress of the aforementioned investments and our financial condition including business performance.(Note) Regarding the dividend with a record date of December 31, 2024, the 62nd Annual Shareholders' Meeting to be held on March 25, 2025 has resolved to pay 150 yen per share (total dividend amount of 2,082 million yen). The per-share dividend amount stated above reflects the dividend amount prior to the stock split at a ratio of 1 to 2 per ordinary share, which the Company executed on January 1, 2025.

Our basic policy is to provide stable and continuous dividends, with distributions made once per year. We target a consolidated payout ratio of at least 30% and aim to flexibly implement additional shareholder returns with a total return ratio of approximately 35–50%. We intend to use retained earnings for strategic investments, including human capital development, research and development, digital transformation, and M&A activities.
