<h3 class="smt_head2">3 [Dividend Policy]</h3><p class="smt_text2" style="orphans:0;widows:0;padding-left:10pt;text-indent:10pt;line-height:13pt;">The Company recognizes returning profits to shareholders as one of its key management policies. Our basic policy is to prioritize shareholders' interests at all times, strengthen our earnings capacity to secure dividend resources, and provide continuous and stable dividends.<br/>　The Company's dividend distributions are based on two payments per fiscal year: an interim dividend and a year-end dividend. The interim dividend is decided by the Board of Directors, while the year-end dividend is decided by the General Meeting of Shareholders.<br/>　The Company's Articles of Incorporation stipulate that "the Company may, by Board of Directors resolution, pay dividends of surplus to shareholders or registered pledgees of shares recorded in the final shareholder register as of September 30 each year, as provided in Article 454, Paragraph 5 of the Companies Act," and "the Company shall, by General Meeting of Shareholders resolution, pay cash dividends of surplus to shareholders or registered pledgees of shares recorded in the final shareholder register as of March 31 each year."<br/>　For the current fiscal period, the Company recorded a net loss of 20,016 thousand yen attributable to parent company shareholders and continues to carry substantial accumulated losses. Accordingly, we regret to inform shareholders that we have decided to forgo annual dividends for this fiscal year.</p><p class="smt_text6" style="orphans:0;widows:0;line-height:12pt;">　</p>

<p>Our basic policy is to strengthen earnings capacity to secure dividend resources and provide continuous and stable dividends to shareholders. We distribute dividends twice annually as a general rule: an interim dividend and a year-end dividend. The interim dividend is decided by the Board of Directors, while the year-end dividend is decided by the General Meeting of Shareholders.</p>
