Our basic policy is to implement stable and continuous dividend payments by comprehensively considering business performance, strengthening our financial foundation, and future growth prospects. However, as of the end of March 2025, we have outstanding debt of 5,605 million yen. Therefore, we have prioritized improving our financial balance by reducing this debt and have not paid dividends.</p><p class="smt_text2" style="orphans:0;widows:0;text-align:justify;padding-left:9pt;padding-right:4.5pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">Starting with dividends based on the fiscal year ending March 2027 (after our listing), we will pay dividends to shareholders while balancing growth investments—including capital expenditures and acquisitions necessary for future business expansion—with debt repayment. We will use profits generated from stable growth, operating cash flow, and retained earnings as sources for these dividends. Specifically, we aim for a total payout ratio of 30% or higher and plan to maintain annual dividends with a minimum of 200 million yen. Any surplus funds after dividend payments will be retained internally to improve our financial balance through debt reduction and to fund future M&A activities.</p><p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:9pt;padding-right:4.5pt;text-indent:9pt;line-height:15pt;">Our Articles of Incorporation set the dividend record dates as March 31 each year for year-end dividends and September 30 each year for interim dividends, with provisions allowing for dividends on other specified dates. Matters specified in Article 459, Paragraph 1 of the Companies Act, including dividends, may be resolved by the Board of Directors unless otherwise provided by law, though this does not preclude shareholder approval. Our policy is to base dividend distributions primarily on an annual year-end dividend, with the Board of Directors as the decision-making body.</p>

<p>Our basic policy is to provide stable and continuous dividend payments by comprehensively considering business performance, strengthening of our management foundation, and future growth potential. We aim for a total payout ratio of 30% or more and maintain a policy of continuing annual dividends with a minimum of 200 million yen. We implement dividends once per fiscal year at the end of the term. Surplus funds remaining after dividend payments are retained internally for debt reduction and future M&A funding.</p>
