<h3>3. Dividend Policy</h3>
The Company views returning profits to shareholders as equally important as business expansion and maintaining competitiveness, which are key management priorities. Our basic dividend policy recognizes profit returns to shareholders as an important management objective. We determine dividend distributions by comprehensively considering business performance trends, financial condition, and capital requirements based on our business plans. We aim to balance retained earnings with profit distribution that reflects our operating results.
As a general rule, the Company distributes surplus dividends once per fiscal year as a year-end dividend. The shareholders' meeting is the decision-making body for year-end dividends.
Based on Article 454, Paragraph 5 of the Companies Act, our Articles of Incorporation provide that the Board of Directors may implement interim dividends with September 30 as the record date each year.
For the current fiscal period, the Company recorded a net loss attributable to parent company shareholders due to losses on step acquisition in connection with the absorption merger with Futurec Co., Ltd., effective October 2024. Accordingly, we regret to announce that no dividend will be paid.

Our basic dividend policy is to distribute profits in line with business performance while maintaining a balance with retained earnings, taking into account business trends, financial condition, and capital requirements. We provide dividends once a year as a year-end dividend as our standard practice, with provisions in our articles of incorporation allowing for interim dividends when appropriate.
