<h3>3. Dividend Policy</h3>
<p style="margin-left: 24px; text-align: justify; text-justify: inter-ideograph; text-indent: 12px">The Company regards returning profits to shareholders as one of its most important management priorities. Our basic policy is to distribute profits according to business performance, while balancing active business expansion for sustainable growth and improved corporate value with financial soundness to prepare for various risks. Regarding dividends, we emphasize stable dividend payments and profit returns aligned with consolidated results from a medium- to long-term perspective. Previously, we targeted a consolidated total payout ratio of 20%, but starting this fiscal year, to further enhance profit returns to shareholders, we have maintained our previous approach while changing the metric to consolidated dividend payout ratio and raising the target to 40%. Dividend amounts will be determined each period based on this target. We will also acquire treasury shares as appropriate based on timing and financial condition to enhance shareholder returns and capital efficiency. Our basic policy is to pay dividends once annually as year-end dividends from retained earnings. Based on these policies, the year-end dividend for this fiscal year has been set at 105 yen per share.</p>
<p style="margin-left: 24px; text-align: justify; text-justify: inter-ideograph; text-indent: 12px">Retained earnings will be used as investment capital for future sustainable growth.</p>
<p style="margin-left: 24px; text-align: justify; text-justify: inter-ideograph; text-indent: 12px">Under our Articles of Incorporation, matters specified in Article 459, Paragraph 1 of the Companies Act are determined by Board of Directors resolution rather than shareholder approval. Our Articles of Incorporation also provide that dividend record dates may be set twice annually—the year-end dividend record date (October 31) and interim dividend record date (April 30)—as well as on other dates as determined.</p>

<p>Our basic policy is to maintain stable dividends while prioritizing profit returns based on consolidated earnings from a medium to long-term perspective, with a target consolidated payout ratio of 40%. Dividends are paid once annually at the fiscal year-end as a general rule. We will also conduct share buybacks as appropriate based on market conditions and financial position to enhance shareholder returns and improve capital efficiency. Retained earnings will be allocated as investment capital to support sustainable growth going forward.</p>
