<h3 class="smt_head2">3 [Dividend Policy]</h3>We recognize that continuously enhancing corporate value through business growth and strengthening our management foundation, and thereby contributing to shareholder returns, is an important management priority.Regarding profit returns through dividends, we take into account each period's performance and have established a basic policy of implementing continuous dividends with a minimum floor of either a consolidated dividend payout ratio of 15% or an annual dividend of 20 yen per common share, whichever is higher, while targeting a consolidated dividend payout ratio of 30% in the future.Additionally, we will consider share buybacks as appropriate to flexibly respond to changes in stock price and business environment, and as a capital allocation and shareholder return method.Regarding retained earnings, we intend to maximize corporate value by actively investing in strengthening the earnings base of our core businesses and making strategic investments in building a business portfolio that will achieve medium- to long-term growth.<p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:18pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">We are proposing "Appropriation of Surplus" as an agenda item for the ordinary general meeting of shareholders scheduled for June 21, 2025. Based on the above basic policy, for the fiscal year-end dividend of the 27th fiscal period, we plan to pay an ordinary dividend of 33 yen per common share, taking into account the performance of the current consolidated fiscal year, future business environment, and retained earnings for continuous business growth. Additionally, for this period, taking into account the consolidated business results for the fiscal year ended March 2025, we plan to pay a special dividend of 32 yen per common share. If the proposal is approved as presented, the total dividend per share for the current consolidated fiscal year is expected to be 65 yen.<p class="smt_text6" style="orphans:0;widows:0;text-align:justify;padding-left:18pt;padding-right:0pt;margin-top:0pt;margin-bottom:0pt;text-indent:9pt;font-family:'ＭＳ 明朝';letter-spacing:0pt;line-height:15pt;font-size:9pt;">Our basic policy is to pay dividends once per year as a year-end dividend. However, our articles of incorporation provide that interim dividends may be paid as prescribed in Article 454, Paragraph 5 of the Companies Act. The company's basic dividend policy is to maintain continuous dividends with a minimum of either a consolidated payout ratio of 15% or an annual dividend per share of 20 yen, whichever is higher, while targeting a consolidated payout ratio of 30% in the future. Dividends are paid once annually as a year-end dividend.
